Terms of Service

1. About PitchStreet

PitchStreet (“PitchStreet”, “we”, “us”) runs pitchstreet.com, an online investment networking website. It connects I Need Money members (businesses, startups, developers, filmmakers and others raising capital, a loan or a partner) with I Have Money members (angel investors, private lenders, funds and others with capital to invest). These Terms of Service (“Terms”) are an agreement between you and PitchStreet and apply whenever you visit the site or use a PitchStreet account.

By creating an account, ticking “I agree” at sign-up, or using the site, you accept these Terms and our Privacy Policy. If you do not agree, do not use PitchStreet.

2. Not a broker, adviser or funding portal

PitchStreet is a networking platform only. PitchStreet is not a registered broker-dealer, funding portal, investment adviser, lender, bank or escrow agent. We do not recommend, endorse, value, negotiate or arrange any investment, loan or deal, and nothing on the site is an offer to sell, or a solicitation of an offer to buy, any security.

Members deal with each other directly and at their own risk. You are solely responsible for your own due diligence, for deciding whether to invest, lend or accept money, and for complying with the laws that apply to you, including securities laws (for example, rules on who you may offer an investment to and what you must disclose). Investing in private companies and projects is risky and you can lose all of your money. Get independent legal, tax and financial advice before you commit to anything.

PitchStreet takes no commission or equity in deals made between members. The only charges are the ones described in these Terms (the Paid Member plan and the optional wallet transfer fee).

3. Who can use PitchStreet

4. Your account and profile review

Every new profile, and every later change to a live profile, is reviewed by PitchStreet before it is shown in the directory. We may approve, ask for changes to, or decline any profile or change, and we may edit obvious errors. Approval is not a verification or endorsement of you, your business or your claims.

You must give accurate, current and complete information (including your name, email address, phone number, location, the money you have or need, and your preferences) and keep it up to date. You confirm your email address with a code we send you. You are responsible for everything that happens under your account; keep your password safe and tell us at once if you think your account has been misused. You can turn on an authenticator app for extra security.

5. Free and Paid Member plans

Free Member. Free. You get a reviewed public profile, appear in search, can reply to every message and can start up to 5 new conversations a day. For safety, Free Members cannot send or open attachments, and email addresses, phone numbers and links in messages are hidden from them. Some messages sent to Free I Need Money members are shown in part until they upgrade.

Paid Member. $299.99 USD a month. Unlimited new conversations, every message and voicemail in full, contact details shown, and documents and images in messages. A Paid Member plan runs until the date shown in My account and must be renewed to continue; when it ends, the account returns to Free Member. Prices and plan features can change; we will tell you before a price change affects a plan you have already paid for. Except where the law requires otherwise, fees already paid are not refundable.

6. Messages, voicemails and meetings

Members can send messages, voicemails, attachments (Paid Members) and meeting requests to members on the other side of the network. You agree to use these only for genuine investment and business networking. We send you an email when you receive a message (you can choose every message, a daily summary or none in My account) and notices in the bell on the site.

PitchStreet staff can read messages, attachments and voicemails when needed to run and protect the service: to review reports, prevent fraud, spam and abuse, enforce these Terms, help you when you ask, or comply with the law. Do not send anything through PitchStreet that you would not want PitchStreet to see. If you ask us to, PitchStreet may send a message on your behalf in your name; we only do this at your request.

Meeting requests and calendar invites are a convenience. PitchStreet does not attend or confirm meetings and is not responsible for whether they happen.

7. I Have Money listings compiled by PitchStreet

The directory includes I Have Money listings that PitchStreet compiled from publicly available sources about investment firms and investors. These listings have not been verified and may be out of date or wrong. A listing does not mean that the person or firm is a PitchStreet member, has reviewed the listing or wants to be contacted. Messages sent to such a listing wait on PitchStreet until the listed person joins and claims it.

If a listing is about you, you can claim it to manage it, or ask us to correct or remove it on the Contact page.

8. The PitchStreet wallet (optional)

Some members can use an optional PitchStreet wallet to send money to another member, either at once or as a pending payment that is released when agreed conditions are met. Using the wallet is entirely optional; members can always settle deals directly outside PitchStreet. Where the wallet is offered:

The wallet may be changed, limited to certain members or places, moved to a licensed payments or escrow partner, or withdrawn. If it is withdrawn, we will tell you and return any balance to you by wire.

9. Your content

You keep ownership of the content you add to PitchStreet: your profile, photos, pitch materials (business plans, decks, images, videos and links), messages and voicemails. You give PitchStreet a worldwide, non-exclusive, royalty-free licence to host, store, copy, display, resize and send that content as needed to run, show and promote the service (for example, showing your public profile and its cards in the directory and in match emails). This licence ends when the content is deleted, except for copies kept in backups for a limited time or where we must keep them by law.

You confirm you have the right to share everything you upload, and that it is accurate and not misleading. PitchStreet may scan uploads for viruses and for contact details, and may remove any content at its discretion.

10. Rules of conduct

You must not:

Report anything that breaks these rules with the Report button in Messages or on the Contact page. Members can block other members.

11. Suspension and closing accounts

We may suspend, limit or close any account, hide or remove any profile or content, and block access from IP addresses connected to misuse, at any time and without notice if we believe these Terms were broken, a member is at risk, or the law requires it. A suspended member is signed out and cannot sign in.

You can stop using PitchStreet at any time and ask us to close your account on the Contact page. If you have a wallet balance, it is returned to you by wire before the account is closed. Closed accounts are kept for 30 days in case the closing was a mistake and are then removed, as described in the Privacy Policy.

12. PitchStreet’s rights

The PitchStreet name, logo, design, software and the directory as a whole belong to PitchStreet. You may use the site for your own networking, but you may not copy, resell, frame or build a competing product from it, or remove our notices.

13. Disclaimers

PitchStreet is provided “as is” and “as available”. To the fullest extent allowed by law, we make no promises about the site, its availability, or the accuracy of any profile, listing, amount, match score or other information, and we disclaim all implied warranties (including merchantability, fitness for a particular purpose and non-infringement). Match scores are an automatic comparison of profile details, not advice or a recommendation. We do not check members’ identities, finances or claims unless we say so in writing.

14. Limitation of liability

To the fullest extent allowed by law, PitchStreet and its owners, staff and suppliers are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost investments, lost data or lost opportunities, arising from your use of PitchStreet or from any dealings between members, even if we were told they were possible. Our total liability for any claim relating to PitchStreet is limited to the greater of the fees you paid PitchStreet in the 12 months before the claim and US $100. Some places do not allow some of these limits, so they may not all apply to you.

15. Your responsibility to us

You agree to defend and compensate PitchStreet and its owners and staff for any claims, losses and costs (including reasonable legal fees) arising from your content, your deals with other members, your breach of these Terms or your breach of any law.

16. Disputes and governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law rules. Before starting any formal claim, please contact us so we can try to resolve it informally. Any claim that is not resolved will be brought only in the state or federal courts located in Orange County, California, and you and PitchStreet agree to their jurisdiction. Disputes between members are between those members; PitchStreet may, but does not have to, help.

17. Changes to these Terms

We may update these Terms from time to time. The date at the top shows the latest version. If we make a material change, we will tell members on the site or by email before it takes effect. Continuing to use PitchStreet after a change takes effect means you accept the updated Terms.

If any part of these Terms cannot be enforced, the rest still applies. These Terms and the Privacy Policy are the whole agreement between you and PitchStreet about the site.
